pastmidnight.com (the "Site") is operated by Past Midnight LLC, a Florida limited liability company, 8200 NE 2nd Ave, Suite 9, Miami, FL 33138, United States; inquiries@pastmidnight.com ("Past Midnight", "we", "us", "our").
These Terms of Service ("Terms") apply to your use of the Site and any purchase from us (together, the "Service"). By using the Site or placing an order, you agree to these Terms and to the policies they link to: our Privacy Policy, Cookie Policy, Shipping Policy and Refund Policy. If you don't agree, please don't use the Site.
We may update these Terms by posting a new version here with a new "Last updated" date. The Terms in force when you place an order apply to that order.
Our store runs on Shopify, which provides our e-commerce platform.
For orders shipped outside the United States, Global-e acts as the merchant of record through Shopify Managed Markets. Global-e sells the product to you, processes your payment, and handles applicable duties and taxes. Global-e's own terms and privacy notice, shown at checkout, also apply to those orders. Past Midnight remains responsible for the product, its delivery and your rights under these Terms, including the right of withdrawal in section 8.

We try to show products, colors and descriptions accurately, but your screen may not display colors exactly. Content on the Site is for general information and may occasionally contain errors in descriptions, prices or availability. We may correct errors and update information at any time.
Our eyewear is sold as non-prescription fashion and sun eyewear unless a product page clearly says otherwise.
Prices are shown in the currency of your market or USD and may change without notice, but a change won't affect an order we've already confirmed. For international orders, prices shown at checkout include or clearly state applicable duties and taxes. We accept the payment methods shown at checkout.
Your order is an offer to buy. A contract forms when we send you a shipping confirmation email. We may refuse or cancel an order, for example because of a pricing error, suspected fraud, stock issues, or limits on quantities per person, household, payment method or address. If we cancel after you've paid, we'll refund you in full.
Resellers and competitors. Our products are for personal use and authorized retail partners. We may refuse or cancel orders that appear to be placed by unauthorized resellers or distributors, or on behalf of competitors for copying, reverse engineering, or competitive analysis, and may block associated accounts, payment methods and addresses. By ordering, you confirm you're buying for personal use.
Shipping and US returns are covered by our Shipping Policy and Refund Policy. Risk of loss passes to you when the order is delivered to you.
If you're a consumer living in the European Union, the European Economic Area or the United Kingdom, you have the right to withdraw from your contract within 14 days without giving any reason. This right is in addition to our Refund Policy and is not limited by it.
Withdrawal period. The period ends 14 days after the day you, or a person you name other than the carrier, take physical possession of the goods. If your order arrives in several parcels, it runs from receipt of the last one.
How to withdraw. Tell us clearly that you want to withdraw before the period ends. You can:

Effects of withdrawal. We'll refund all payments received from you, including standard delivery costs (but not extra costs if you chose a more expensive delivery method than our cheapest standard option), without undue delay and within 14 days of receiving your withdrawal notice. We'll use your original payment method unless you expressly agree otherwise, and you won't pay any fees for the refund. No restocking fees or label fees apply. We may hold the refund until we've received the goods back or you've given us proof of sending them, whichever comes first.
Returning the goods. Send the goods back without undue delay and no later than 14 days after telling us you're withdrawing, to the return address we give you in the withdrawal confirmation. You'll bear the direct cost of returning the goods.

We don't offer an additional manufacturer's warranty and assess any damage on a case-by-case basis. This doesn't affect your statutory rights. If you're an EU, EEA or UK consumer, you have a legal guarantee of conformity for at least 2 years from delivery: if goods are faulty or not as described, you're entitled to repair or replacement, and if that isn't possible, a price reduction or refund. Other countries and US states may give you similar rights. To report a problem, email orders@pastmidnight.com with your order number and photos.
Except for these statutory rights and anything we expressly promise, the Site and Service are provided "as is" and "as available", to the extent the law allows. We don't guarantee the Site will be uninterrupted, secure or error-free.
The Site includes third-party tools (such as virtual try-on, reviews and payment services) and links to other websites. We don't control them and aren't responsible for their content or practices. Their own terms and privacy policies apply.
If you post a review or send us ideas, feedback or other material, you give us a non-exclusive, royalty-free, worldwide license to use, edit, publish and translate it in any medium. You confirm it's yours, truthful and lawful. We may remove content we consider unlawful, offensive or in breach of these Terms. We don't pay for or require submissions.
All content on the Site, including our name, logos, designs, photos and text, belongs to Past Midnight or its licensors and is protected by law. You may not use it without our written permission.
How we handle your personal information is described in our Privacy Policy and Cookie Policy.
To the extent the law allows, Past Midnight and its members, employees, agents, suppliers and service providers aren't liable for indirect, incidental, special, punitive or consequential damages, or lost profits, arising from your use of the Site or our products. Our total liability for any claim relating to an order is limited to the amount you paid for that order.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, gross negligence or willful misconduct, or any liability that can't be limited by law, including your statutory consumer rights in your country.
To the extent the law allows, you agree to indemnify Past Midnight LLC and its members, employees, agents and service providers against claims and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or violation of any law or third-party rights. This section doesn't apply to EU, EEA or UK consumers except where the law allows.
These Terms are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-law rules. Courts in Miami-Dade County, Florida, have jurisdiction, except where the law gives you the right to bring a claim where you live.
If you're a consumer in the EU, EEA or UK, you keep the protection of the mandatory laws of your country of residence and may bring claims in the courts there. We're neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.
